1. Agreement to Terms
By accessing and using the mysitebroker by ARKA Systems website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you may not access or use our services.
2. Services Provided
mysitebroker by ARKA Systems provides the following services:
- Custom website design and development using Next.js and modern technologies
- Web hosting and domain management
- Ongoing website maintenance and support
- Search Engine Optimization (SEO) services
- Lead generation and booking systems
- Custom web applications and client portals
Specific deliverables, timelines, and scope of work will be outlined in individual service agreements or project proposals.
3. Payment Terms
3.1 Setup Fees: One-time setup fees are due before work begins. Setup fees are non-refundable once project work has commenced.
3.2 Monthly Subscriptions: Monthly subscription fees are billed on a recurring basis and are due on the same day each month. Subscriptions auto-renew unless cancelled with 30 days written notice.
3.3 Payment Methods: We accept payment via credit card, ACH transfer, or other agreed-upon methods. Late payments may result in service suspension.
3.4 Refunds: Monthly subscription fees are non-refundable. Setup fees are non-refundable once work has begun.
4. Intellectual Property Rights
4.1 Client Ownership: Upon full payment of all fees, the client receives ownership of the final website design, custom code written specifically for the project, and original content created for the client.
4.2 Third-Party Assets: Open-source frameworks, libraries, and third-party integrations remain under their respective licenses. We do not transfer ownership of these components.
4.3 Portfolio Rights: mysitebroker by ARKA Systems retains the right to display completed projects in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
4.4 Pre-existing Materials: Any pre-existing code, frameworks, or materials developed by mysitebroker remain our property and may be reused in other projects.
5. Client Responsibilities
Clients are responsible for:
- Providing timely feedback, content, and materials needed for the project
- Ensuring all content provided does not infringe on third-party copyrights
- Maintaining accurate contact information and billing details
- Complying with all applicable laws and regulations in their use of the website
- Protecting login credentials and notifying us of any security breaches
6. Service Level & Support
6.1 Support Response Times: We aim to respond to support requests within 1 business day (Monday-Friday, 9am-5pm EST, excluding holidays).
6.2 Hosting & Uptime: We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
6.3 Included Support: Monthly plans include reasonable support for minor updates, content changes, and bug fixes. Major redesigns or new features may require additional fees.
6.4 Emergency Support: Emergency support outside business hours may be available for an additional fee.
7. Project Timelines
Estimated project timelines are provided in good faith but are not guaranteed. Delays caused by client feedback, content provision, or third-party dependencies may extend timelines. We will communicate any anticipated delays as soon as they are identified.
8. Termination
8.1 Termination by Client: Monthly service agreements can be terminated by the client with 30 days written notice. No refunds will be provided for partial months.
8.2 Termination by mysitebroker: We reserve the right to terminate services with 30 days notice, or immediately for non-payment, violation of terms, or illegal use of services.
8.3 Data Transfer: Upon termination and full payment of outstanding fees, we will provide the client with all necessary files, databases, and content to migrate their website to another provider.
9. Warranties and Disclaimers
9.1 Service Warranty: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
9.2 Disclaimer: Services are provided "as is" without any other warranties, express or implied. We do not warrant that websites will be error-free, secure from hackers, or achieve specific business results.
9.3 Third-Party Services: We are not responsible for the performance, availability, or security of third-party services, APIs, or integrations.
10. Limitation of Liability
mysitebroker by ARKA Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption arising from the use or inability to use our services.
Our total liability for any claim arising out of or relating to these terms shall not exceed the total amount paid by the client in the 12 months preceding the claim.
11. Indemnification
Client agrees to indemnify and hold harmless mysitebroker by ARKA Systems from any claims, damages, or expenses arising from: (a) client's use of the website or services, (b) violation of these terms, or (c) infringement of third-party rights by client-provided content or materials.
12. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project. This includes business strategies, trade secrets, customer data, and any information marked as confidential.
13. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of services after changes constitutes acceptance of the modified terms.
14. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes will be resolved through binding arbitration in Tampa, Florida, or through the courts of Hillsborough County, Florida.
15. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
